We provided tax advice on the acquisition of shares issued by Colca Capital BIDCO S.A.C., shareholder of Polysistemas Corp S.A.C (the Peruvian company with the most experience in the document management sector). Our team was involved from the structuring and planning stages to the negotiation and conclusion of the transaction. This matter was challenging mainly from a contractual standpoint. In fact, the SPA contained tax clauses with a very high detail and complexity level. It required from our intervention, clarifying such clauses, with the aim of closing the business.
