Client Requirement: We advised our client in the acquisition of Ian Taylor Peru SAC in order to increase their market share of the maritime towage services market in Peru. The transaction consisted in the acquisition of only the maritime tug business, that will remain into Ian Taylor Peru SAC (Target); as the latter has already performed a carve-out into a NewCo., by transferring the agency, logistic, maritime pilotage, and maritime personnel transport businesses. This expansion has positioned our client as one of the most important competitors into the maritime tug services business in Peru.
Our Participation: In this particular deal we walked together with our client in the design and implementation of the appropriate structure for the deal. A previous carve-out was performed by our client’s counterparty and thus our advice consisted in a detailed due diligence of the target’s remaining business, so the latter comply with all agreed commercial terms.
Client Benefit: Taking in account our deep knowledge and experience in providing advisory to other clients in the target’s business, we provided and continue providing legal advisory to our client in the last post-closing actions and related transitional stage; in this way our client can be accompanied from a legal perspective in the assumption of this new business.
