Client Requirement: Our client, a foreign entity, has merged its two vehicles in Peru, EX Squared Solutions Peru S.A and DSB Mobile S.A.C. (a Peruvian software company acquired on 2019) and changed the name of the surviving entity (DSB Mobile S.A.C.) to EX Squared Solutions Perú S.A.C. The purpose of this intercompany merger was to reduce costs and be more effective from a financial and commercial point of view.
Our Participation: We were in charge of structuring this merger, in order to execute the most efficient option for our client. In this sense, we were in charge of drafting of all the necessary corporate documents for the implementation of this merger as well as all consequential legal actions.
Benefit for the Client: As we daily manage all legal aspects related to both companies, we provided our client precise legal assistance and therefore are deeply involved in the most efficient form to implement this process taking in account their current portfolio of clients, labor situation and the particularities of the software business.
