We advised a company named SYSTRA in the acquisition of a Spanish company named SUBTERRA INGENIERÍA, S.L. whose activity consists in tunnel engineering. SUBTERRA INGENIERÍA, S.L. has two Peruvian vehicles by means of which they performed their activities in Peru.
In that sense, we assisted the client in the legal Due Diligence regarding the Peruvian company SUBTERRA PERU S.A.C. and the Peruvian branch of the Spanish company, which included the analysis of corporate, contracts, data protection, IP, labour, real estate, litigation, financial and public procurement aspects of the operations of the Peruvian Subsidiaries of the target company, as well as the advice on the mitigation of contingencies.
In addition, we assisted the client in the fulfilment of the condition precedent to the closing of the transaction with respect of the local companies. We were in charge of the formalization of certain corporate transactions that occurred before the closing and the registration of the acquisition in the local subsidiary in order to have the shareholding structure organized before the acquisition by the Buyer.
