In this case we provided advice in the consolidation of a new player in the asphalt market in Peru. Our client and Otoya Ing (under a joint venture structure) performed various important infrastructure projects (mainly maintenance of roads) but taking in consideration their common business goals and well-known reputation in the market they merged resources and changed the legal structure of collaboration from a joint venture to shareholding. We also advised in the entrance of a third partner who also contributes its business experience for a greater expansion of the business.
Our client requested our assistance to execute this new structure and to walk together with them in all the necessary legal aspects to take in consideration for the implementation of the above. Besides providing all the required advisory for the shareholding acquisition, we have also advised on the design and implementation of all necessary legal documents for the protection of our clients’ interests going forward in this new business.
