Client Requirement: The client is part of an intermediation structure where a Seller, a Buyer and an Assignee enter into an Assignment and Consent Agreement. The client as the Assignee will participate in this transaction acquiring the rights of the Seller in delivering the goods to the Buyer. The Buyer has to issue a Promissory Notes under Peruvian regulation in order to secure the transaction.
Our Participation: We provided them legal advisory regarding the whole transaction analyzing if the Seller could transfer its right to the Assignee in accordance with the primary agreements executed and also elaborating and support business team in the issuance of the Promissory Notes. Our advice committed to ensure the enforceability of the Promissory Notes under an Executive Process.
Benefit for the Client: We also provided legal support on the notarization of the Promissory Note in a Notary located in Perú.
