We advised the PAKA APPAREL group, company of the clothing industry specifically in the sustainable alpaca outdoor apparel. We structured a corporate reorganization for Paka Apparel Inc. so that it could acquire direct ownership of the business in Peru. As a result of this operation the US company acquired the majority stake of the shares from the local entity initially owned by natural persons. We assist the client in the analysis of the risks and consequences for the US entity to become direct shareholder of a local company and in the implementation of the documents for the transaction such as the share purchase agreement, powers of attorney and ancillary corporate documents to register the transaction in the local entity. This transaction was very important for the company because the business will be funded from abroad and the ownership structure had to be efficiently structure in order to avoid any risks from the tax side or accounting problems.
