Client Requirement: After the acquisition of Z Aditivos in October 2021 (a Peruvian company with extensive experience in the development, manufacture, and commercialization of additives for concrete, asphalt, and soil) Saint- Gobain decided to gain some efficiency though the merger of both business into one legal entity. The client requested our assistance to look for their best option taking in consideration the management and commercial points of view, but at the same time evaluating compliance with all applicable labour, tax and in general legal obligations. Subsidiaries of the target company, as well as the advice on the mitigation of contingencies.
Our Participation: In this case and taking in account we were facing an intercompany merger; we were in charge of the structure as well as the drafting of all necessary documents for the accurate implementation of this transaction.
Benefit for the Client: As we manage several legal aspects of both companies, we were able to provide an accurate advisory Saint-Gobain and obtain the implementation of the merger process in the estimated timeline. This is complemented by our deep knowledge of their business (since their first acquisition in Peru in 2019), and therefore we were able to advise them regarding any potential contingency related to the impact of the merger in the applicable market and with their current clients.
