Client Requirement: We are advising Saint-Gobain Productos para la Construcción S.A.C. in the acquisition of 100% of the shares of a family-owned industrial coating business. As in other M&A transactions, the environmental topics take special relevance. In this case, considering the nature of the business to be acquired, the environmental due diligence and assessment was specially regarded by our client.
Our participation: We are currently performing a carefully due diligence on environmental matters with a close coordination with the technical team of the client. This information will be used later on (i) to design a plan to integrate these new operations with other operations that our client currently performs in Peru; (ii) to review alternatives to implement amendments or improvements when necessary or convenient; and (iii) to negotiate responsibilities and guaranties from seller.
